On March 31 and April 1, 2011, Cravath partners Faiza J. Saeed and Gary A. Bornstein spoke at the 23rd Annual Tulane Corporate Law Institute. Faiza served as moderator on a panel entitled “Executive Compensation/Say on Pay,” which discussed the issues around executive compensation from a corporate governance and shareholder perspective in the wake of the Dodd-Frank Act. Gary spoke on a panel entitled “Delaware Developments,” which explored recent case law in Delaware, including decisions addressing the obligations of directors when adopting a “poison pill,” as well as recent developments affecting classified boards, the rights of preferred stockholders and alternative-entity M&A.
