On October 4, 2011, IBM announced a definitive agreement to acquire privately held Q1 Labs, a Waltham, Massachusetts-based provider of security intelligence software. Cravath represented IBM in connection with this transaction. Financial terms were not disclosed. The acquisition is expected to close in the fourth quarter of 2011 and is subject to regulatory review and the satisfaction of customary closing conditions.
