On September 7, 2011, Cravath partner John W. White spoke at the “Ninth Annual Director’s Institute on Corporate Governance,” a conference presented by the Practising Law Institute and held in New York City. John spoke on a panel entitled “Compensation Committees: New Requirements and Responsibilities,” which discussed the impact of “say-on-pay” and other Dodd-Frank requirements on compensation committee decisions. The panel also explored the question of how a corporation should respond to negative ISS recommendations or receipt by the corporation of a high percentage of negative votes on say-on-pay issues.
