LizabethAnn R. Eisen is a partner in Cravath’s Corporate Department. Her practice focuses on domestic and international corporate finance transactions, corporate governance and reporting matters and restructurings.
Ms. Eisen’s clients have included Amdocs, Flagstone Reinsurance Holdings, MIH Limited, Orbotech, Starbucks, Tengelmann, Unilever, Universal Orlando, UTi Worldwide and Xerox. Her work includes corporate reporting and disclosure advice and securities offerings for these clients. In addition, she represents underwriters in IPOs, including for Francesca’s Holdings and Tumi Holdings, as well as in follow‑on offerings, including for Darling International, Francesca’s Holdings, Tumi Holdings and Metals USA, and in investment grade and high‑yield debt offerings, including for Chrysler, Dell, Terex Corp., Global Brass and Copper, Clear Channel Communications, Clear Channel Outdoor and Reynolds Group. In addition, Ms. Eisen works with the Firm’s restructuring practice in connection with distressed debt tender offers, debt buy‑backs and exchange offers.
Ms. Eisen is a frequent speaker and author on the securities laws. Recent publications include a chapter entitled “Debt Financing Commitments in Private Equity Acquisitions” in the book Inside the Minds: Analyzing VC Deal Terms — Leading Lawyers on Structuring Term Sheets, Developing Negotiation Strategies, and Assessing Risks and “Securities Offerings — Completing Your IPO as Market Conditions Shift on Pricing Day,” published in the December 2007 issue of Bloomberg Corporate Law Journal, which discusses SEC rules for changing the price and size of an initial public offering. Ms. Eisen recently presented on “Can I Trade This? What To Do When Your Loan Is Converted To Equity” to the Loan Syndication and Trading Association (LSTA). In May 2011, Ms. Eisen spoke on a panel entitled “Financing the High‑Tech Business” at the Second Annual ABA Section of International Law and Israel Bar Association Joint Conference, held in Eilat, Israel.
Ms. Eisen has also chaired the Practising Law Institute’s (PLI) program on public offerings for many years.
In addition, Ms. Eisen is one of the five partners who oversee the Firm’s pro bono project with the Children’s Hospital at Montefiore and the Children’s Hospital of New York‑Presbyterian through which free legal services are provided to patients and their families. She is a member of the Board of Directors of The Fresh Air Fund and President’s Council of Cornell Women and also serves on the Legal Momentum Board of Legal Advisors.
Ms. Eisen has been recognized as one of the leading practitioners in securities law by The Legal 500 from 2010 through 2012 and IFLR1000: The Guide to the World’s Leading Financial Law Firms in 2008, 2009 and 2013. She was also named to Lawdragon magazine’s 500 New Stars, New Worlds, a list of the nation’s top 500 up‑and‑coming talent and innovative seasoned professionals who are “carrying the legal profession to new frontiers.”
Ms. Eisen comes from Portland, Oregon. She received a B.A. magna cum laude in 1994 from Cornell University and a J.D. in 1997 from the University of Pennsylvania. Ms. Eisen joined Cravath in 1997 and became a partner in 2005.
