LizabethAnn R. Eisen is a partner in Cravath’s Corporate Department. Her practice focuses on domestic and international corporate finance transactions, corporate governance matters and restructurings.
Ms. Eisen’s clients have included Flagstone Reinsurance Holdings, Orbotech, Starbucks, Tengelmann, UTi Worldwide, Universal Orlando, Unilever and Xerox. She also represents underwriters in IPOs and follow-on offerings, including for Francesca’s Holdings, Metals USA, Darling International, Eurand N.V. and CommVault, and in investment grade and high-yield debt offerings, including recently for Chrysler, Dell, Terex Corp., CEVA Group Plc, Clear Channel Communications, Clear Channel Outdoor and Reynolds Group. In addition, Ms. Eisen works with the Firm’s restructuring practice in connection with distressed debt tender offers, debt buy-backs and exchange offers, as well as corporate disclosure and governance matters.
Ms. Eisen is a frequent speaker and author on the securities laws. Recent publications include a chapter entitled “Debt Financing Commitments in Private Equity Acquisitions” in the book Inside the Minds: Analyzing VC Deal Terms - Leading Lawyers on Structuring Term Sheets, Developing Negotiation Strategies, and Assessing Risks and “Securities Offerings - Completing Your IPO as Market Conditions Shift on Pricing Day,” published in the December 2007 issue of Bloomberg Corporate Law Journal, which discusses SEC rules for changing the price and size of an initial public offering. Ms. Eisen recently presented on “Can I Trade This? What To Do When Your Loan Is Converted To Equity” to the Loan Syndication and Trading Association (LSTA). She is also Chair of the Practising Law Institute’s (PLI) seminar on “Securities Offerings 2011: Getting Your Deal Done.”
In addition, Ms. Eisen is one of the eight partners who oversee the Firm’s pro bono project with the Children’s Hospital at Montefiore and the Children’s Hospital of New York-Presbyterian through which free legal services are provided to patients and their families. She is a member of the Board of Directors of The Fresh Air Fund, Volunteers of Legal Service, Inc. and President’s Council of Cornell Women (four-year term begins July 1, 2011).
Ms. Eisen was named as a leading lawyer in U.S. High-Yield Debt by the IFLR 1000 in 2010 and was recognized by The Legal 500 for her skill in capital markets in 2010 and 2011. She was also named to the Lawdragon 500: New Stars New Worlds, Lawdragon magazine’s list of the nation’s top 500 up-and-coming talent and innovative seasoned professionals who are “carrying the legal profession to new frontiers.”
Ms. Eisen comes from Portland, Oregon. She received a B.A. magna cum laude in 1994 from Cornell University and a J.D. in 1997 from the University of Pennsylvania. Ms. Eisen joined Cravath in 1997 and became a partner in 2005.
