Max R. Shulman

Retired Partner, Litigation

Max R. Shulman retired from Cravath’s Litigation Department in 2010. Mr. Shulman had a broad practice that included representing clients in major securities fraud, antitrust, insurance coverage and M&A litigation. He also represented the Governor of the State of New York in litigation with the State Legislature over control of the State’s annual budget process.

Mr. Shulman’s clients also included Deloitte & Touche LLP, Hertz Corporation, General Electric Capital Corporation, Royal Dutch Shell Group, Bristol-Myers Squibb Company, International Business Machines Corporation, Time Warner, Warner Music Group, American Securities Capital Partners LLP, and E.I. du Pont de Nemours & Co. Mr. Shulman had been involved in a wide variety of mergers and acquisitions litigation, including representation of Norcen Energy Resources Ltd. in its proposed acquisition of Hanna Mining Co., Unilever in its proposed acquisition of Richardson Vicks, Grand Metropolitan PLC in its acquisition of Pillsbury, BAT in the failed attempt by Hoylake Investments and AXA Midi Group to take control of Farmers Insurance Group, Schneider Electric SA in its acquisition of American Power Conversion Corp., Applebee’s in its acquisition by IHOP, and The Pepsi Bottling Group, Inc. (“PBG”) in an attempt by PepsiCo, Inc., to acquire all outstanding PBG shares.

Mr. Shulman was recognized as a leader in securities litigation by Chambers USA: America’s Leading Lawyers for Business. He was also named in The Best Lawyers in America for his work in commercial litigation.

Currently, Mr. Shulman serves as Chairman of the Board of Directors of the School of American Ballet and on the Board of Trustees of the Paul Taylor Dance Foundation.

Mr. Shulman was born in Winston-Salem, North Carolina. He received an A.B. cum laude from Harvard University in 1967 and a J.D. cum laude from Columbia Law School in 1970, where he was both a Harlan Fiske Stone Scholar and a James Kent Scholar. After graduation, Mr. Shulman clerked for two years for Hon. Charles M. Metzner of the U.S. District Court for the Southern District of New York, and was an Associate in Law at Columbia Law School for one year. He joined Cravath in 1973 and became a partner in 1979.
