Restructuring
Cravath’s restructuring practice addresses a wide range of complex situations involving financial distress. The Firm was at the forefront of restructuring transactions since they were first practiced. Our lawyers draw on their experience in handling some of the most challenging, cutting-edge restructuring cases and transactions. We have substantial experience in reorganization, restructuring and bankruptcy transactions involving both Chapter 11 cases and out-of-court workouts in both domestic and cross-border matters, including loan workouts, rescue, debtor-in-possession and Chapter 11 exit financing, exchange and tender offers, bankruptcy litigation, distressed merger and acquisition transactions, Chapter 11 and restructuring plan documentation and municipal bankruptcy. We protect clients’ contract rights in workouts and bankruptcies, and in litigation in the bankruptcy courts and in other courts on bankruptcy law issues, including matters related to alleged breaches of fiduciary duty by officers and board members of distressed companies, disputes arising out of lender claims, alleged breaches of contract and alleged fraudulent transfers.
