Cravath, together with Hengeler Mueller, represented Douglas AG in connection with its €890 million initial public offering of ordinary bearer shares. The DOUGLAS Group is a leading omnichannel premium beauty destination in Europe. The shares were listed on the Frankfurt Stock Exchange (Prime Standard). The transaction closed on March 25, 2024.

(“Endeavor”), a global sports and entertainment company, announced that it has entered into a definitive agreement to be acquired by Silver Lake, the global leader in technology investing, in partnership with the Endeavor management team and additional anchor investors. Cravath is representing the independent Special Committee of Endeavor’s board of directors in connection with the transaction.

The transaction closed on February 21, 2024. Cravath represented ECN Capital in connection with the transaction.

Segall co‑authored the U.S. Law & Practice chapter of the fourth edition of Chambers “Investing In… 2024” Guide, which was published in January 2024. The guide, which is part of the publisher’s Global Practice Guides series, examines country‑specific legal issues that arise from foreign direct investment (“FDI”) and cross‑border transactions in the more than 30 jurisdictions covered. The U.S. Law & Practice chapter surveys the legal system and regulatory framework for FDI in the country, analyzing the economic climate, as well as considerations related to mergers and acquisitions, corporate governance, capital markets, antitrust, national security, tax, employment and intellectual property.

On January 20, 2024, Cravath partner Andrew T. Davis participated in the American Bar Association’s Tax Section 2024 Midyear Meeting, which was held from January 18‑20 in San Francisco, CA. The event convened leading tax attorneys and government officials to discuss the latest federal, state and local tax policies. Andrew spoke on a panel entitled “Current Developments in Corporate Taxation,” which reviewed legislative and administrative developments in corporate taxation, including new regulatory and other guidance for the Corporate Alternative Minimum Tax and the Excise Tax as well as changes to the private letter ruling program.
