Cravath partners Andrew J. Pitts, D. Scott Bennett and Michael E. Mariani and associate Melanie R. Cook authored a chapter entitled “Direct Listings: Going Public Without an IPO” for The Review of Securities & Commodities Regulation. The chapter discussed motivations and considerations for a company choosing to go public through a direct listing, such as minimizing the cost and burden associated with going public, as well as stock exchange and Securities and Exchange Commission regulations that control direct listings and how the process compares to a traditional initial public offering.
