In July 2020, Cravath published the sixth edition of its Quarterly Review, which examines the Q2 2020 M&A, activism and corporate governance landscape. The Review provides an overview of activity in those areas, highlights notable cases in the M&A space, shares trends in activism activity, and notes key developments in corporate governance over the period. The Q2 2020 edition discusses the effects of the COVID‑19 pandemic throughout the global economy, including a decline in global deal making, particularly for cross‑border and larger deals, as well as private equity buyout activity. In the first half of 2020, the Industrials & Chemicals sector led the way in global deal value, with the U.S. Technology Sector also strong; Consumer and Leisure and Energy, Mining & Utilities fell significantly. The Review notes a number of disputes concerning the closing of pending M&A transactions due to the COVID‑19 pandemic, as well as regulatory developments and a decline in U.S. activist campaigns as a global share of activism activity, with a comparative rise in Europe and Japan.
