In July 2019, Cravath published the second edition of its Quarterly Review on the Q2 2019 landscape across M&A, activism and corporate governance. The Review provides an overview of M&A and shareholder activism activity over the second quarter and first half of 2019, observing trends that can be gleaned from that activity. It also considers legal developments and notable cases for M&A and corporate governance practice, and examines recent trends in corporate governance, including a review of ISS’s report on the 2019 proxy season. Finally, the Review provides an overview of proposed rulemaking from the SEC regarding financial statement requirements in acquisition and divestiture transactions, as well as potential initiatives of the SEC in the governance arena.

In April 2019, Cravath published the inaugural issue of its Quarterly Review on trends in M&A, activism and corporate governance. The Review discusses topics including: factors contributing to year‑over‑year changes in global deal volume; recent cases impacting M&A; the continued emphasis on M&A‑related themes in activist campaigns; and the increased focus from active and passive managers on environmental, societal and governmental (“ESG”) issues.
