Cravath partner David J. Kappos authored a chapter entitled “OSS and SDO: Symbiotic Functions in the Innovation Equation” for the second volume of The Cambridge Handbook of Technical Standardization Law, which focuses on “Further Intersections of Public and Private Law.”
Dave’s chapter discusses how industry standards development organizations (“SDOs”) and the open source software (“OSS”) community have contributed to technological achievements in recent decades, and examines how they coexist and complement each other. The chapter discusses topics including how innovation has been spurred by the creation and adoption of industry standards, as well as the compatibility of open source software with fair, reasonable and non‑discriminatory licensing.

On November 19, 2019, Landscape Acquisitions Holdings Limited (“Landscape”) announced that it has entered into a definitive agreement to acquire AP WIP Investments Holdings, LP, one of the largest global aggregators of real property interests underlying wireless telecommunications cell sites, for consideration of approximately $860 million consisting of cash, shares and assumption of debt. Cravath is representing AP WIP Investments Holdings, LP in connection with the transaction.

(“Sumitimo Dainippon Pharma”), a leading Japanese pharmaceutical company, announced they have signed a definitive agreement for the creation of a novel and broad strategic alliance to form a new company owned and supported by Sumitomo Dainippon Pharma.

On September 30, 2019, Swedish Orphan Biovitrum AB (publ) (“Sobi”), an international biopharmaceutical company that provides access to innovative therapies for people affected by rare diseases, announced a definitive agreement to acquire Dova Pharmaceuticals, Inc. (“Dova”), maker of Doptelet, used for the treatment of thrombocytopenia. The transaction is valued at up $915 million on a fully diluted basis. Cravath is representing Sobi in connection with the transaction.

On August 29, 2019, The Walt Disney Company (“Disney”) announced that it has sold its equity interest in the YES Network to a newly formed investor group that includes Yankee Global Enterprises (the “Yankees”) and Sinclair Broadcast Group (“Sinclair”), among others. The group acquired the 80 percent of the YES Network not already held by the Yankees at a total enterprise value of $3.47 billion. Cravath represented Disney in connection with the transaction.
