Cravath represented the initial purchasers, led by Citigroup, Goldman, Sachs & Co., J.P. Morgan Securities, BofA Merrill Lynch and Deutsche Bank Securities, in connection with the $14.6 billion 144A/Reg. S senior unsecured notes offering of Hewlett Packard Enterprise Company related to its proposed separation from Hewlett‑Packard Company. The offering closed on October 9, 2015. Cravath also represented Goldman, Sachs & Co., Morgan Stanley & Co. LLC and HSBC Securities (USA) Inc., as dealer managers, in connection with Hewlett‑Packard Company’s cash tender offers to purchase up to $8.85 billion of Hewlett‑Packard Company’s currently outstanding debt securities.
