John White and Faiza Saeed Speak at Corporate Governance Seminar

On February 15, 2012, Cravath partners John W. White and Faiza J. Saeed spoke at “Corporate Governance—A Master Class,” a conference presented by the Practising Law Institute and held in New York City. John was joined by two other former directors of the Division of Corporate Finance, as well as the current director, Meredith Cross, in a roundtable discussion entitled “SEC Corporation Finance Directors Past and Present.” The discussion focused on the challenges facing the Division and the intersection of corporate governance developments and the Division’s work. Faiza spoke on a panel entitled “State Law—Delaware Developments,” which discussed the current state of “poison pills” and procedures for the avoidance of fiduciary duties by certain corporations and non-corporate entities.
