Rossini S.à r.l.'s €1.3 Billion High‑Yield Fixed and Floating Rate Senior Secured Notes Offering

Cravath represented the initial purchasers, led by Deutsche Bank, Credit Suisse and Jefferies, in connection with the €1.3 billion 144A/Reg. S high‑yield fixed and floating rate senior secured notes offering of Rossini S.à r.l., a Luxembourg‑based debt vehicle used by CVC Capital Partners to finance the acquisition of FIMEI S.p.A, a majority owner of Recordati S.p.A, an international specialty pharmaceutical company. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on October 26, 2018.
