Four Decades for Justice
Cravath represented the initial purchasers, led by Citigroup and NatWest Markets, in connection with the €600 million Regulation S senior notes offering of Smurfit Kappa Acquisitions Unlimited Company, a wholly owned subsidiary of Smurfit Kappa Group plc. Smurfit Kappa Group plc is one of the world’s largest integrated manufacturers of paper‑based packaging products, with operations in Europe, Latin America, the United States and Canada. Proceeds of the offering were used to finance the acquisition of Reparenco Holding B.V. and to repay existing indebtedness. The notes were listed on the Irish Stock Exchange. The transaction closed on June 28, 2018.
The Cravath team included partner Philip J. Boeckman, associates Margaret R. M. Rallings, Alexander Gerten and Naeem Crawford‑Muhammad and foreign associate attorney Giulia E. Uboldi. Summer associate Jerome C. Newton also worked on this matter.
