Taylor Morrison Home Corporation’s Registered Class A Common Stock Offering

Cravath represented the underwriters, Citigroup and Goldman Sachs & Co. LLC, in connection with the $521 million registered class A common stock offering of Taylor Morrison Home Corporation, one of the largest public homebuilders in the United States. Proceeds of the offering will be used to purchase a portion of existing investments of TPG Capital, L.P. and Oaktree Capital Management, L.P. in Taylor Morrison. The shares were listed on the New York Stock Exchange. Following this offering and a sponsor equity repurchase, TPG and Oaktree will no longer beneficially own any securities of Taylor Morrison. The transaction closed on January 17, 2018.

The Cravath team included partner Bill Whelan and associate Holden K. Sumner on securities matters, and associate Kiran Sheffrin on tax matters. Jieun Lim also worked on securities matters.
