On April 25, 2024, Cravath prepared a memo for its clients entitled “FTC Adopts Rule “Banning” Non‑Compete Clauses with Workers.” The memo examines the Federal Trade Commission’s recently adopted final rule broadly deeming non‑compete clauses with “workers” to be an “unfair method of competition” under Section 5 of the Federal Trade Commission Act. The memo outlines how the final rule does not necessarily constitute a ban on non‑compete clauses, potential legal challenges to the final rule and expected future enforcement. The memo concludes with recommendations for companies to consider to ensure they are in position to adapt to the changing landscape.

In January 2024, Cravath partner Lauren M. Rosenberg was appointed to the New York Permanent Commission on Access to Justice. Established in 2010, the New York Permanent Commission on Access to Justice’s mission is to expand access to civil legal services and improve access to justice generally. It provides support for the preparation of the Chief Judge's annual statewide hearing to assess the unmet needs for legal representation in civil legal proceedings involving fundamental human needs, and it assists in developing the Chief Judge's report and recommendations to the Legislature and the Executive about the level of public resources necessary to meet those needs.

On April 18, 2024, Law360 published an article written by Cravath partners David J. Kappos and Sasha Rosenthal‑Larrea entitled “Surveying Legislative Trends as States Rush to Regulate AI.” The article discusses trends in the large quantity of state artificial intelligence legislation introduced in 2024 thus far, including the imposition of obligations on AI developers and deployers; the required disclosure of the use of generative AI; the regulation of specific uses of AI such as its use in litigation; and the regulation of the risk of algorithmic discrimination.

Cravath of counsel Kathryn-Ann Stamm participated in the African Women Entrepreneurship Cooperative’s 2024 General Assembly, which was held from April 17‑19, 2024, in Gaborone, Botswana. The event convened women entrepreneurs and business leaders, experts and executives from across the globe to discuss how to build partnerships and the value of collaboration in entrepreneurship. Kathryn‑Ann led a multi‑day learning lab entitled “The Elements of Win‑Win Partnerships,” which equipped attendees with an in‑depth roadmap to prepare, create and nurture mutually beneficial partnerships for their businesses. Through the learning lab, Kathryn‑Ann provided attendees with a comprehensive toolkit, empowering them to successfully navigate the lifecycle of partnerships while effectively protecting their own business interests and intellectual property.

On April 18, 2024, Cravath partner Jelena McWilliams participated in part II of the virtual SIFMA Basel III Endgame Roundtable. Jelena moderated a roundtable discussion entitled “Overall Reflections on the Proposal and an Evaluation of the Proposal’s Impacts on End Users, U.S. Capital Markets, and the Broader Economy,” which examined the impacts of the Basel Endgame proposal on specific end users, capital market products and segments, as well as its impacts on economic growth and financial stability.

On April 16, 2024, Cravath was honored by the Volunteers of Legal Service (“VOLS”), a nonprofit organization that provides free civil legal services to low‑income New Yorkers with limited resources, at its 2024 New York, Together gala. Cravath partner Antony L. Ryan, who serves as Chairman of VOLS’ Board of Directors, accepted the award on the Firm’s behalf in recognition of its “strong and historical” pro bono partnership.

Cravath partner Jin‑Kyu Baek was selected to join the 2024 Leadership Council on Legal Diversity (LCLD) Fellows Program. The LCLD, which was founded in 2009 as an organization of chief legal officers and law firm managing partners committed to creating a more diverse and inclusive legal profession, selects attorneys “who have shown promising leadership potential” to participate in the Fellows Program, which is a year‑long, multi‑tiered professional development series that involves personal development opportunities, leadership training, and relationship‑building resources.

On April 11, 2024, the New York State Unified Court System announced the formation of an advisory panel to study the impact of artificial intelligence on the New York state courts, including the practical, legal and ethical risks posed by its use. Cravath of counsel Scott B. Reents was appointed to be a member of the advisory committee, alongside other legal technology experts, judges, court administrators, attorneys, legislators and academics.

On April 9, 2024, Global Competition Review honored Cravath at the publication’s annual awards ceremony, which was held in Washington, D.C. in celebration of “the world’s leading antitrust matters, lawyers and economists from 2023.” The Firm was honored with the “Litigation of the Year – Non‑Cartel Prosecution” award for “creative, strategic and innovative litigation” during its representation of Epic Games in an antitrust trial victory against Google.

The transaction closed on April 3, 2024.

Cravath, together with Hengeler Mueller, represented Douglas AG in connection with its €890 million initial public offering of ordinary bearer shares. The DOUGLAS Group is a leading omnichannel premium beauty destination in Europe. The shares were listed on the Frankfurt Stock Exchange (Prime Standard). The transaction closed on March 25, 2024.

Scott spoke on a panel entitled “New Tech in Law Firms,” which examined the challenge of integrating new technologies, such as artificial intelligence, into the law firm workflow.

Joseloff participated in the 10th National Conference on CFIUS, which was hosted by the American Conference Institute from April 10-12, 2024 in Arlington, VA. Ben spoke on a panel entitled “Introduction to CFIUS: Your A-to-Z Guide to Filing Requirements, Timelines, Mitigation, Enforcement, Penalties and Beyond,” which reviewed the basic regulatory standard necessary for a Committee for Foreign Investment in the United States (“CFIUS”) filing, the national security reasons for CFIUS filings, the scrutiny given to filings and the processing timelines.

On April 8, 2024, Cravath partner David J. Kappos participated in the Best Practices in Intellectual Property 10th Annual Conference, which was hosted by Intellectual Property Resources in Tel Aviv and featured global decision-makers and leading IP professionals to discuss global IP issues, trends and legislation. Dave served as one of the program’s chairs and delivered opening remarks. He also spoke on two panels entitled “Top-Line Issues in Intellectual Property — An Exchange Among Former IP Office Heads” and “Assessing Congressional Engagement with the U.S. IP System — A First-Ever Congressional Member-Level Scorecard,” respectively, and moderated a panel entitled “AI Management for the AI Era Policy and Practice.”

Juventus Football Club S.p.A. operates as a leading professional football club in Italy. Its core business centers around the football club’s participation in national and international football competitions. The shares were listed on Euronext Milan. The transaction closed on March 27, 2024.
