C. Daniel Haaren focuses his practice on capital markets and general corporate matters, which is complemented by his significant experience in mergers and acquisitions.

Mr. Haaren’s clients have included Ashland, BDT Capital Partners, Booking Holdings, Cincinnati Bell, Conduent, Goldman Sachs, J.P. Morgan, John Wood Group, Martin Marietta, Morgan Stanley, Mylan, Olin, PG&E, Pinnacle Foods, Technicolor, US Foods, Valvoline, ViewRay and Wells Fargo.

Mr. Haaren’s notable transactions include representing:

  • PG&E in its $9 billion equity exit financing, including its tri-tranche offering, which represents the largest utility public equity offering in history, and corporate governance and securities law compliance matters related to PG&E’s reorganization proceedings under Chapter 11;
  • the initial purchasers in the $150 million convertible senior notes offering of Eventbrite;
  • the initial purchasers in the $400 million senior notes offering of Entegris;
  • Booking Holdings in its $862.5 million convertible senior notes offering;
  • Valvoline in its $759 million IPO;
  • Ashland in its $825 million cash tender offer, its €500 million senior notes offering and its $375 million high‑yield notes offering made in connection with the tax-free separation of its Valvoline business;
  • ViewRay in its $149.56 million primary offering of common stock;
  • the initial purchasers in the $1.6 billion high-yield notes offering of Tesoro;
  • Olin in the resale of $1.22 billion of high-yield senior notes made in connection with the $5 billion Reverse Morris Trust acquisition of the chlorine value chain business of Dow Chemical;
  • Mylan in its successful takeover defense against Teva’s $40 billion hostile bid and its $35 billion offer to acquire Perrigo;
  • Pinnacle Foods in its $10.9 billion acquisition by Conagra;
  • US Foods in its $1.8 billion acquisition of SGA Food Group;
  • Martin Marietta in its $1.625 billion acquisition of Bluegrass Materials;
  • Cincinnati Bell in its $650 million combination with Hawaiian Telcom and its $201 million acquisition of OnX Enterprise Solutions;
  • Technicolor in the $475 million sale of its Patent Licensing business to InterDigital;
  • BDT Capital Partners in its acquisition of a majority interest in Alliance Laundry Systems from Ontario Teachers’ Pension Plan and its majority investment in Marquette Transportation; and
  • Conduent in the sale of its commercial vehicle operations business to investment funds managed by Alinda Capital Partners.

Mr. Haaren was born in Red Bank, New Jersey. He received a B.A. from Duke University in 2009 and a J.D. magna cum laude from the New York University School of Law in 2012, where he was an Articles Editor of the Law Review and elected to the Order of the Coif.

Mr. Haaren joined Cravath in 2012 and was elected a partner in 2019.
