G.J. Ligelis Jr. is a partner in Cravath’s Corporate Department. His practice primarily encompasses public and private mergers and acquisitions, corporate governance and general corporate matters. Mr. Ligelis’ clients have included Aerion, Anheuser‑Busch InBev, Biogen, Buckeye Partners, Casa Cuervo, FS Investments, IBM, Naspers, Novartis, Synthomer and Unilever.

Mr. Ligelis’ notable M&A transactions include representing:

  • Synthomer in its pending $824 million acquisition of OMNOVA;
  • Buckeye Partners in its pending $10.3 billion acquisition by IFM and the sale of its 50% interest in VTTI to Vitol and IFM;
  • Aerion in its partnership with Boeing to bring Aerion’s next‑generation supersonic business jet to market;
  • Biogen in its strategic collaboration agreement with Skyhawk Therapeutics;
  • Cholula in its acquisition by L Catterton;
  • Novartis in its $2.1 billion acquisition of Endocyte;
  • Unilever in its acquisition of Sundial Brands, its $384 million acquisition of the TAZO brand from Starbucks and the $580 million sale of its Wish‑Bone and Western dressings brands to Pinnacle Foods;
  • FS Investments in the transition of the management of its business development company (BDC) platform to investment advisory partnerships with EIG Global Energy Partners and KKR;
  • Alere in its $8 billion sale to Abbott Laboratories;
  • Florida East Coast Railway in its $2.1 billion sale to Grupo México by Fortress Investment Group;
  • Anheuser-Busch InBev in its $123 billion acquisition of SABMiller and the $12 billion sale of SABMiller’s U.S. and global Miller branded businesses to Molson Coors;
  • IBM in its acquisition of the product and technology businesses of The Weather Company, including WSI, weather.com, Weather Underground and The Weather Company brand, from a consortium comprising Blackstone, Bain Capital and NBCUniversal;
  • Naspers in its joint ventures with Schibsted Media, Telenor and Singapore Press relating to their online classifieds businesses in a number of countries; and
  • Casey’s General Stores in connection with the unsolicited acquisition proposal by Alimentation Couche‑Tard, and related hostile tender offer and proxy contest.

Mr. Ligelis has been recognized for his work in mergers and acquisitions by IFLR1000.

Mr. Ligelis is a member of the International Bar Association.

Mr. Ligelis was born in New York. He received an A.B. magna cum laude in History with a Certificate in East Asian Studies from Princeton University in 2006, where he was elected to Phi Beta Kappa, and a J.D. cum laude from Harvard Law School in 2009, where he was the President of the Harvard Association for Law and Business. Mr. Ligelis joined Cravath in 2009 and became a partner in 2018.
