Gregory M. Shaw retired from Cravath’s Corporate Department in 2010. His practice focused on general corporate and securities matters with extensive experience in capital markets finance, including equity offerings, investment grade and high‑yield debt offerings and asset‑backed securities offerings.
Mr. Shaw was a pioneer in the securitization arena, working on many groundbreaking transactions including the first credit card securitization for Citigroup, the first auto loan securitization for Chrysler Financial Corporation, the first securitization of movie distribution rights for DreamWorks and the first securitization of Hertz’s rental car fleet. His continuous work for major financial institutions covered all areas of securitization ranging from securitization of trade receivables to CLOs. Mr. Shaw was cited as one of the country’s leading securitization practitioners in Chambers USA from the commencement of its U.S. coverage in 1999 until he moved to the London office in 2003. In London, Mr. Shaw’s focus shifted to a wider array of capital markets finance practices, particularly equity offerings and debt financings. His most recent representation was of Deutsche Bank on U.S. aspects of its rescue financings for Hypo Real Estate Bank and The Republic of Ghana in the first sub‑Saharan sovereign debt offering. Mr. Shaw had been cited as a leading practitioner in high‑yield products in Chambers UK. He had also been recognized for his work in the capital markets arena by PLC Which Lawyer? and Who’s Who Legal: The International Who’s Who of Business Lawyers.
In addition to his legal work, Mr. Shaw has served as Chairman of the Board of the Westchester Chapter of the Multiple Sclerosis Society and as a member of the Advisory Council of the Columbia University School of General Studies.
Mr. Shaw was born in Newark, New Jersey. He received a B.S. from Columbia University in 1977, where he was elected to Phi Beta Kappa, and a J.D. from Columbia Law School in 1980, where he was an editor of the Law Review.
