Cravath represented the initial purchasers in connection with the $1 billion 144A/Reg. S high‑yield senior secured notes offering of CHS/Community Health Systems, Inc. CHS/Community Health Systems, Inc., together with its parent company, Community Health Systems, Inc., is one of the nation’s largest healthcare companies. Cravath also represented the dealer manager in connection with the concurrent $985 million cash tender offer. The high‑yield senior secured notes offering closed on December 22, 2023, and the cash tender offer closed on January 10, 2024.

Cravath represented Cable One, Inc. in connection with $2.8 billion of amended and restated senior secured credit facilities provided by a syndicate of commercial banks and other lenders. The credit facilities consist of $1.8 billion of term loan facilities and a $1.0 billion revolving credit facility. Cable One is a leading broadband communications provider serving more than 1.1 million residential and business customers across 24 states. The transaction closed on February 22, 2023.

Cravath represented the administrative agents, joint lead arrangers and joint bookrunners in connection with the arrangement of $585 million of credit facilities made available to Bakelite US Holdco, Inc. and Bakelite Synthetics UK Limited, affiliates of the private equity firms Black Diamond Capital Management LLC and Investindustrial, in connection with the acquisition of Georgia‑Pacific Chemicals LLC, a part of the Georgia‑Pacific business which provides resin and formaldehyde technology to the industrial, chemicals and transportation markets. The facilities consisted of a $100 million asset‑based revolving credit facility and a $485 million term loan facility. The transactions closed on May 27, 2022.
