Marc S. Rosenberg retired from Cravath’s Corporate Department in December 2013. At the time of his retirement, he had been the Co‑Chair of the Corporate Governance and Board Advisory practice from its inception. His practice included counseling boards of directors, board committees and senior management in connection with SEC investigations, governance issues and other special situations, as well as securities work and mergers and acquisitions. Mr. Rosenberg’s principal clients included Citigroup, GE, IBM, McKinsey, MetLife, PricewaterhouseCoopers and Verizon, among many others.
While a partner at Cravath, Mr. Rosenberg was repeatedly recognized by the National Association of Corporate Directors as “one of the 100 most influential people in the boardroom.” He was also cited as a leading practitioner in securities regulation by Chambers USA from 2010 through 2013. Mr. Rosenberg was named a leading lawyer in corporate governance by PLC Cross‑border: Corporate Governance and Directors’ Duties 2008/09 and in securities law by The Best Lawyers in America from 2007 through 2016. Mr. Rosenberg was born in New York, New York. He received an A.B. summa cum laude from Princeton University in 1980, where he was elected to Phi Beta Kappa, and a J.D. magna cum laude from Harvard Law School in 1983, where he was a recipient of the Sears Prize and an Editor of the Law Review. Before joining Cravath, Mr. Rosenberg served as a law clerk to Hon. Walter R. Mansfield of the U.S. Court of Appeals for the Second Circuit.
Mr. Rosenberg joined Cravath in 1985 and became a partner in 1990.
