$1.22 Billion Resale of High‑Yield Senior Notes of Blue Cube Spinco Inc.

Cravath represented Olin Corporation in connection with the resale of US$1.22 billion of high‑yield senior notes of Blue Cube Spinco Inc. and guaranteed by Olin Corporation, a manufacturer concentrated in Chlor Alkali Products, Chemical Distribution and Winchester. The offering was consummated in connection with Olin Corporation’s acquisition of the Dow Chlorine Products business of The Dow Chemical Company. The transaction closed on October 5, 2015.
