Cravath’s London Office Moves to 100 Cheapside
Cravath represented AerCap Holdings N.V., the world’s largest independent aircraft leasing company, in connection with various registered offerings related to AerCap ordinary shares held by Waha AC Coöperatief U.A. In connection with the offerings, Waha entered into funded collar transactions relating to AerCap’s ordinary shares with certain financial institutions. In order to hedge their obligations under the funded collar transactions, the financial institutions borrowed 8,233,152 ordinary shares from Waha and sold those shares, together with 3,000,000 ordinary shares offered by Waha as selling shareholder, in an underwritten offering through Deutsche Bank Securities Inc., acting as underwriter. The offering also included an additional 3,690,153 ordinary shares, which were borrowed by the collar counterparties from Waha to be sold from time to time, pursuant to block sales, on the NYSE, in the over‑the‑counter market or in negotiated transactions. Sales of the shares would be at market prices prevailing at the time of sale or at negotiated prices in order to hedge the collar counterparties’ obligations under the funded collar transactions. The shares were listed on the New York Stock Exchange. The transaction closed on December 5, 2014.
