Allergan’s $2.8 Billion Debt Tender Offers

Cravath represented the dealer managers, led by Morgan Stanley, Bank of America Merrill Lynch and Citigroup, in connection with the debt tender offers by Warner Chilcott Limited, Allergan Funding SCS, Allergan Finance LLC, Forest Laboratories, LLC and Allergan, Inc. totaling up to US$2.8 billion. Allergan plc, formerly known as Actavis plc, is a global specialty pharmaceutical company. The transaction closed on May 26, 2017.
