AmerisourceBergen’s $1.25 Billion Registered Senior Notes Offering

Cravath represented the underwriters, led by Bank of America Merrill Lynch, Citigroup and J.P. Morgan Securities, in connection with the $1.25 billion registered senior notes offering of AmerisourceBergen Corporation, one of the largest global pharmaceutical sourcing and distribution services companies. Proceeds of the offering will be used to finance the pending acquisition of H.D. Smith by AmerisourceBergen. The transaction closed on December 4, 2017.

The Cravath team included senior attorney G. Douglas Johnson and associate Virginia M. Anderson on securities matters; senior attorney Annmarie M. Terraciano on environmental matters; and associate Damien J. Rose on tax matters. Emily C. Weiss also worked on securities matters and Rebecca L. Fine worked on tax matters.
