Arrangement of Financing for SAIC’s Acquisition of Scitor

Cravath represented the agent, Citibank, N.A, in connection with the arrangement of $200 million in Revolving Credit Commitments, an increase of $100 million in Tranche A Term Loans and a $570 million Term Loan B Facility to finance the acquisition by Science Applications International Corp. (SAIC) of Scitor Holdings, Inc. and its subsidiaries. SAIC is a leading technology integrator that provides full life‑cycle services and solutions in the technical, engineering and enterprise information technology markets. The transaction closed on May 4, 2015.
