Aviv REIT, Inc.’s Common Stock Offering

Cravath represented the underwriters, led by Morgan Stanley, BofA Merrill Lynch and Goldman, Sachs & Co., in connection with the US$222 million common stock offering of Aviv REIT, Inc., a self‑administered REIT specializing in the ownership and triple‑net leasing of post‑acute and long‑term‑care skilled nursing facilities. Aviv REIT, Inc. is a portfolio company of private equity sponsor Lindsay Goldberg & Bessemer, L.P. The shares were listed on the New York Stock Exchange. The transaction closed on April 15, 2014.
