Beacon Roofing Supply’s Registered Common Stock Offering

October 13, 2017

Cravath represented the underwriters, led by Citigroup, Wells Fargo Securities, Bank of America Merrill Lynch, RBC Capital Markets and SunTrust Robinson Humphrey, in connection with the $346 million registered common stock offering of Beacon Roofing Supply, Inc., the second largest distributor of residential and non‑residential roofing materials in the United States at the time of the offering. The shares were listed on the NASDAQ Global Select Market. Proceeds of the offering will be used to finance the acquisition of Allied Building Products Corp. by Beacon Roofing Supply. The transaction closed on September 25, 2017.

The Cravath team included partner Stephen L. Burns and associates Andrew M. Wark and Eliza S. Marshall on securities matters, and associates Tara L. Rhoades and Andrew L. Mandelbaum on tax matters. Ana Drmanovic also worked on securities matters.
