Chesapeake Energy’s Second Lien Note Exchange Offer

Cravath represented the dealer managers, led by Bank of America Merrill Lynch, Goldman, Sachs & Co. and Wells Fargo Securities, in connection with an exchange offer by Chesapeake Energy for certain of its outstanding senior unsecured notes. In the exchange offer, Chesapeake issued approximately $2.35 billion of new second lien notes in exchange for approximately $3.8 billion of its outstanding unsecured notes. The exchange offer expired on December 30, 2015, and the final settlement was on December 31, 2015.

The Cravath team included partner Stephen L. Burns and associates Nicholas A. Dorsey, Ben S. Persina, Jacob B. Ornstein and Matthew L. Ploszek. In addition, partner James D. Cooper and senior attorney Patrick Moriarty assisted on collateral‑related matters. Alan Campbell and Devon A. Klein also worked on this matter.
