Credit Facilities for Crane NXT, Co. and Crane Company in Connection with Spin‑Off of Crane Company from Crane Holdings, Co.

Cravath represented the arranger and the administrative agent in connection with the arrangement of $850 million of credit facilities, consisting of a $500 million revolving credit facility and a $350 million term loan facility, made available to Crane Holdings, Co. (which was renamed Crane NXT, Co.) on March 31, 2023 and the $800 million of credit facilities, consisting of a $500 million revolving credit facility and a $300 million term loan facility, made available to Crane Company on April 3, 2023.

The Cravath team included partner Tatiana Lapushchik and associates Marianne Madden and Sophia Premji on banking matters; partner Andrew T. Davis and associates Kyle R. Jorstad and Emily R. Crane Company is a leading industrial manufacturing and technology company. The credit facilities consisted of a $900 million term loan facility and a $900 million revolving credit facility. The transaction closed on September 30, 2025.

        Cravath represented the administrative agent, lead arrangers and bookrunners in connection with $2 billion of credit facilities made available to Verisk Analytics, Inc. (“Verisk”), as part of the financing transactions undertaken in connection with its pending acquisition of Exactlogix, Inc. (“AccuLynx.com”). Verisk is a leading data, analytics and technology provider serving clients in the insurance ecosystem. The credit facilities consisted of a $750 million term loan facility and a $1.25 billion revolving credit facility. The transaction closed on August 15, 2025.
