CyrusOne’s Common Stock Offering

Cravath represented CyrusOne Inc., a REIT that owns, operates and develops enterprise‑class, carrier‑neutral data center properties, in connection with its $394.9 million offering of its common stock. A total of 3,400,000 shares were offered directly by CyrusOne, and 4,420,000 shares were, at the request of CyrusOne, borrowed from third parties and offered by an affiliate of one of the underwriters in the offering in connection with two forward sale agreements entered into by CyrusOne, at a price to the public of $50.50 per share. The transaction closed on August 15, 2016.
