CyrusOne’s Registered Common Stock Offering

Cravath represented CyrusOne Inc. in connection with its $570 million registered offering of common stock. 6,700,000 shares were offered directly by CyrusOne, and 2,500,000 shares were, at the request of CyrusOne, borrowed from third parties and offered by an affiliate of one of the underwriters in the offering in connection with a forward sale agreement entered into by CyrusOne, at a price to the public of $62.00 per share. CyrusOne is a REIT that specializes in highly reliable enterprise‑class, carrier‑neutral data center properties. The shares were listed on the NASDAQ Global Select Market. The transaction closed on September 28, 2018.
