On April 21, 2021, Cravath partner David J. Kappos spoke at the 4th Annual IPOwners Spring Summit, which was hosted virtually by the Intellectual Property Owners Association. The conference brought together in‑house and outside counsel for education sessions and discussion of relevant topics in intellectual property law. Dave spoke during a panel entitled “Transformations in IP Policy,” which discussed changes in intellectual property policy in the United States under the new presidential administration, including possible legislation, as well as emerging trends in the international IP landscape.

On April 11, 2021, DiaSorin S.p.A. (“DiaSorin”), a leading global diagnostics company, announced that its Board of Directors has unanimously approved and signed a definitive merger agreement for DiaSorin to acquire Luminex Corporation (“Luminex”), a leader in multiplexing technology, for a price of $37.00 per share in an all‑cash transaction corresponding to an enterprise value of approximately $1.8 billion. Cravath is representing DiaSorin in connection with the transaction.

On March 18, 2021, National Grid plc (“National Grid”) announced that it has agreed to acquire Western Power Distribution, the UK’s largest electricity distribution business, from PPL Corporation (“PPL”) for an equity value of £7.8 billion, and that National Grid has agreed to sell The Narragansett Electric Company, Rhode Island’s largest electricity transmission and distribution service provider, to PPL for an equity value of $3.8 billion. Cravath is representing National Grid in connection with the transactions.

On March 10, 2021, AerCap Holdings N.V. (“AerCap”), a global leader in aircraft leasing, announced that it has entered into a definitive agreement with General Electric (“GE”) under which AerCap will acquire 100% of GE Capital Aviation Services, a GE business. Under the terms of the agreement, which has been unanimously approved by the boards of directors of AerCap and GE, GE will receive 111.5 million newly issued AerCap shares, $24 billion of cash and $1 billion of AerCap notes and/or cash. Cravath is representing AerCap in connection with the transaction.

February 15, 2021
On February 15, 2021, Cable One, Inc. (“Cable One”) announced that it has entered into a definitive agreement to acquire the equity interests in Hargray Acquisition Holdings, LLC (“Hargray”) that it does not already own. The equity interests to be acquired by Cable One represent approximately 85% of Hargray on a fully diluted basis. The transaction, which implies a $2.2 billion total enterprise value for 100% of the equity interests of Hargray on a debt-free and cash-free basis, will expand Cable One’s presence into the Southeastern U.S. and enable Cable One to capitalize on Hargray’s experience and expertise in fiber expansion. Cravath is representing Cable One in connection with the transaction.
