An article co-authored by Cravath senior attorney David M. Stuart, entitled “Disclosure Obligations Under the Federal Securities Laws in Government Investigations,” appeared in The Business Lawyer, a publication by the American Bar Association’s Section of Business Law. Through an analysis of precedent disclosures, caselaw, rules and practical ramifications, the article discussed what considerations counsel must take into account when evaluating disclosure decisions in the context of a government investigation into corporate conduct.
