DHT’s Acquisition of Samco Shipholding

On September 9, 2014, DHT Holdings, Inc. announced that it has entered into an agreement to acquire all the outstanding shares of Samco Shipholding Pte. Ltd., a private, Singapore‑based company, for a purchase price of approximately $317 million and the assumption of approximately $320 million of indebtedness. Cravath represented DHT in connection with this transaction, which is expected to close in September 2014 and is subject to various customary closing conditions. The transaction includes Samco’s 50% ownership in Goodwood Ship Management Pte. Ltd., a private, Singapore‑based ship management company that currently manages all of DHT’s vessels.
