Energy Future’s $18.8 Billion Sale to Sempra Energy

Cravath is representing the Independent Manager of Energy Future Intermediate Holding Company LLC (“EFIH”) in connection with conflict matters arising out of its disposition of its 80 percent interest in Oncor Electric Delivery Company, LLC (“Oncor”), including in negotiations with Hunt Consolidated, Inc., NextEra Energy, Berkshire Hathaway Energy and, most recently, Sempra Energy. On August 21, 2017, Sempra Energy agreed with EFIH and its parent, Energy Future Holdings Corp. (“Energy Future”), to acquire Energy Future, the indirect owner of 80 percent of Oncor, for an enterprise value of approximately $18.8 billion.
