Cravath’s London Office Moves to 100 Cheapside
Cravath partner Faiza J. Saeed was named to The Hollywood Reporter’s annual “Power Lawyers” list, which recognizes leading lawyers in the media and entertainment industries and was published in the March 26, 2020 issue of the magazine. The feature highlights Faiza’s role advising Disney in its acquisition of 21st Century Fox; Hasbro in its acquisition of Entertainment One; Time Warner in its acquisition by AT&T; and Viacom’s board committee in its merger with CBS. This is Faiza’s fourth consecutive year being recognized as a “Power Lawyer.”

On June 20, 2018, The Walt Disney Company (“Disney”) announced that it signed an amended acquisition agreement with Twenty-First Century Fox, Inc. (“21st Century Fox”) under which Disney will acquire 21st Century Fox for $85 billion, rebuffing an interloper bid by Comcast to its original $66 billion agreement. The pending acquisition includes the Twentieth Century Fox Film and Television studios, along with its cable and international TV businesses. Immediately prior to the acquisition, 21st Century Fox will separate the Fox Broadcasting network and stations, Fox News Channel, Fox Business Network, FS1, FS2 and Big Ten Network into a newly listed company that will be spun off to its shareholders. Cravath is representing Disney in connection with the transaction.

August 23, 2019
On August 22, 2019, Hasbro, Inc. and Entertainment One Ltd. (“eOne”) announced they have entered into a definitive agreement for Hasbro to acquire eOne in an all‑cash transaction valued at approximately $4 billion. Hasbro will add eOne’s family brands, proven TV and film expertise and veteran executive leadership. Cravath, along with Stikeman Elliot and Freshfields Bruckhaus Deringer, is representing Hasbro in connection with the transaction.

On June 12, 2018, the United States District Court for the District of Columbia ruled that AT&T Inc. and Time Warner Inc. can proceed with their $108.7 billion merger, defeating the United States Department of Justice’s attempt to block the union—the government’s first challenge to a vertical merger in decades. In addition to representing Time Warner on the deal, which has been pending since 2016, Cravath led Time Warner’s defense in the government’s antitrust investigation and litigation, which culminated in a six-week trial during March and April 2018.

On August 13, 2019, Viacom and CBS Corp. (“CBS”), two of the world’s leading entertainment companies, announced they have entered into a definitive agreement to combine in an all‑stock merger, creating a combined company with more than $28 billion in revenue. Cravath is representing the Board Committee of Viacom in connection with the transaction.
