Falcon (BC) Germany Holding 3 GmbH’s High‑Yield Senior Secured Debt Offering

Cravath represented the initial purchasers, led by Morgan Stanley, in connection with the €240 million 144A/Reg. S high‑yield senior secured debt offering of Falcon (BC) Germany Holding 3 GmbH. The offering occurred in connection with the acquisition of FTE Verwaltungs GmbH by Falcon (BC) Germany Holding 3 GmbH, an indirect portfolio company of Bain Capital. FTE Automotive GmbH is a leading international manufacturer of specialized hydraulic components that are essential to modern automobile clutch and brake systems. The notes will be listed on the Irish Stock Exchange. The transaction closed on July 12, 2013.
