Francesca’s Common Stock Offering

Cravath represented the underwriter, Jefferies, in connection with the US$210 million secondary offering of common stock of Francesca’s Holdings Corporation, a holding company whose business operations are conducted through its wholly owned indirect subsidiary, Francesca’s Collections, Inc., a specialty retailer. Until this offering, Francesca’s Holdings Corporation was a portfolio company of private equity sponsor CCMP Capital Advisors, LLC. The shares were listed on the NASDAQ Global Select Market. The transaction closed on April 2, 2013.
