Francesca’s Common Stock Offering

Cravath represented the underwriters, led by Goldman, Sachs & Co. and J.P. Morgan Securities, in connection with the US$248 million offering of common stock of Francesca’s Holdings Corporation, a holding company whose business operations are conducted through its wholly owned indirect subsidiary, Francesca’s Collections, Inc., a specialty retailer. The shares were listed on the NASDAQ Global Select Market. The transaction closed on April 23, 2012.
