GardaWorld’s High‑Yield Senior Notes Offering

Cravath represented the initial purchasers, led by Barclays, in connection with the $125 million 144A/Reg. S high‑yield senior notes offering of Garda World Security Corporation (“GardaWorld”), a leading provider of integrated security solutions. Proceeds of the offering were used to finance GardaWorld’s acquisition of Primary Response Inc. and for general corporate purposes. The transaction closed on March 1, 2018.
