Graham Holdings Company’s Proposed Separation of Cable ONE Inc.

November 14, 2014

On November 13, 2014, Graham Holdings Company announced that its Board of Directors has authorized management to proceed with plans for the complete legal and structural separation of Cable ONE, Inc., a Graham Holdings subsidiary, from Graham Holdings. Cravath is representing Graham Holdings Company in connection with this proposed transaction, which will be structured as a tax‑free spin‑off of Cable ONE to the stockholders of Graham Holdings. Following the proposed transaction, which is expected to be completed in 2015, Cable ONE will be an independent, publicly traded company.

The Cravath team included associate Nicholas M. Foley on M&A matters and partners Michael L. Schler and Lauren Angelilli on tax matters.
