IBM’s Acquisition of Cleversafe

On October 5, 2015, IBM announced it has entered into a definitive agreement to acquire Cleversafe, Inc., a leading developer and manufacturer of object‑based storage software and appliances. Cravath represented IBM in connection with this transaction. Once the deal closes, IBM will integrate the Cleversafe portfolio into its IBM Cloud business unit. Financial terms were not disclosed.
The Cravath team was led by partner George F. Schoen and included associates William D. Podurgiel and Adam J. Gross on M&A matters; partner Eric W. Hilfers and associate Amy C. Benford on executive compensation and benefits matters; partner Andrew W. Needham and associate Dmitry Zelik on tax matters; and partner Matthew Morreale on environmental matters. Catalina S. Parkinson also worked on M&A matters.
