IBM’s Acquisition of TRIRIGA

March 24, 2011

On March 22, 2011, IBM announced that it has entered into an agreement to acquire privately held TRIRIGA, Inc., a Las Vegas, Nevada-based provider of facility and real estate management software solutions. Financial details were not disclosed. Cravath represented IBM in this transaction.

This acquisition aims to accelerate IBM’s smarter- buildings initiatives by adding advanced intelligence that improves real estate performance, capital project management and the outcomes of sustainability initiatives. The deal is expected to close in the second quarter of 2011, subject to regulatory approval and the satisfaction of customary closing conditions.

The Cravath team includes associates Ross M. Leff and Juliana Han on corporate matters; partner Andrew W. Needham and associates J. Leonard Teti II and Sonia Rodriguez on tax matters; associates Daniel A. Birnhak, Albert Chang and Kimberly L.         TaskUs’s Take‑Private Acquisition by its Co‑Founders and Blackstone

        On May 9, 2025, TaskUs, Inc. (“TaskUs”), a leading provider of outsourced digital services and next‑generation customer experience to companies, announced it has entered into a definitive agreement to become a privately held company.         On March 18, 2025, Wiz, Inc. (“Wiz”), a leading cloud security platform headquartered in New York, and Google LLC (“Google”) announced they have signed a definitive agreement for Google to acquire Wiz for $32 billion, subject to closing adjustments, in an all‑cash transaction. Once closed, Wiz will join Google Cloud. Cravath is representing Wiz as regulatory counsel in connection with the transaction.

        PepsiCo’s $1.95 Billion Acquisition of poppi

        On March 17, 2025, PepsiCo, Inc. (“PepsiCo”) announced that it has entered into a definitive agreement to acquire poppi, a prebiotic soda brand, for $1.95 billion, including $300 million of anticipated cash tax benefits for a net purchase price of $1.65 billion. The transaction also includes an additional potential earnout consideration subject to the achievement of certain performance milestones within a specified period after closing of the transaction. Cravath is representing PepsiCo in connection with the transaction.
