IBM’s Proposed Acquisition of Resource/Ammirati

January 29, 2016

On January 28, 2016, IBM announced its intent to acquire Resource/Ammirati, a leading U.S.‑based digital marketing and creative agency, combining the companies’ strategic, creative and technology talents to address rising demand from businesses seeking to reinvent themselves for the digital economy and provide differentiated experiences to their customers. Cravath represented IBM in connection with this proposed transaction. Financial terms were not disclosed.

The Cravath team included associates Matthew M. Kelly and Eric D. Rinder on M&A matters; practice area attorney Romica Singh on executive compensation and benefits matters; partner Andrew W. Needham and associate Jonathan D. Grossman on tax matters; partner Matthew Morreale on environmental matters; and senior attorney Joyce Law on real estate matters. Justin B. Stein also worked on M&A matters and Brian B. Kennedy also worked on executive compensation and benefits matters.

IBM is a guarantor of the notes. IIC is a wholly owned finance subsidiary of IBM, a globally integrated innovation company, serving the needs of enterprises and institutions worldwide. The transaction closed on February 5, 2024.
