IBM’s Retail Store Solutions Business Acquired by Toshiba TEC

On April 17, 2012, IBM and Toshiba TEC Corporation announced a definitive agreement under which Toshiba TEC will acquire IBM’s Retail Store Solutions (RSS) business, which offers retail point-of-sale solutions worldwide, for approximately US$850 million. Cravath represented IBM in connection with this transaction, which is expected to close late in the second quarter or early in the third quarter of 2012, subject to the satisfaction of regulatory requirements and customary closing conditions.
