IBM’s Watson Joint Venture with Mubadala

On July 14, 2015, IBM and Mubadala Development Company (Mubadala), the Abu Dhabi‑based investment and development company, announced a joint venture to bring IBM Watson to the Middle East and North Africa (MENA). Cravath represented IBM in connection with this transaction.
The companies will collaborate to deliver Watson cloud‑based cognitive computing to healthcare, retail, education, banking and finance organizations. The joint venture will also create a broad regional ecosystem of partners, entrepreneurs, start‑ups and application developers who will apply Watson throughout MENA. The financial terms of the IBM and Mubadala joint venture were not disclosed.
The Cravath team included partner George F. Schoen and associates Stephanie R. Gallina and Matthew J. Aldana on M&A matters and partner Andrew W. Needham and associate Ashley N. Elnicki on tax matters. Summer associate Caleb B. Rosser also worked on M&A matters.
