Ben co‑led a presentation entitled “Legal Ethics for Compliance Lawyers and Compliance Officers,” which explored the ethical obligations of in‑house lawyers and compliance professionals, including how companies should structure their ethics and compliance programs within their organization, how and when to maintain attorney‑client privilege during investigations and what to do when compliance officers and general counsels play competing roles in giving compliance advice.

The hearing entitled “American Innovation and the Future of Digital Assets: From Blueprint to a Functional Framework” examined the Digital Asset Market Clarity Act of 2025, which sets forth a proposed digital asset market structure framework.

On June 10, 2025, Cravath partner Nicole M. Argentieri participated in the American Conference Institute’s 23rd New York Forum on Global Anti‑Corruption, Ethics & Compliance, which was held from June 10‑11 in New York. The forum convened compliance leaders and experts from law firms, government and the private sector to discuss new insights, best practices and practical strategies on compliance risks and regulatory enforcement. Nicole spoke on a panel entitled “Current and Former DOJ and SEC Officials Unpack New White‑Collar Enforcement Priorities and Policies and What They Mean for Compliance and Internal Investigations Professionals,” during which panelists discussed the evolving landscape of enforcement and new priorities at the DOJ and SEC, as well as practical takeaways for updating risk management, internal investigations and compliance strategies.

Jelena was featured in a fireside chat on banking policy and regulation, during which she examined what recent developments reveal about potential regulatory posture, key issues that could have a profound impact on banks’ operations and other hot‑button issues that have surfaced during recent examinations.

In March 2025, the Court Modernization Action Committee (“CMAC”) published its 2024 progress report, entitled the “2024 New York State Court Modernization Progress Report,” co-authored by Cravath of counsel and CMAC Co-Chair Scott B. Reents. The report outlines the continued progress of the New York State Courts in 2024, with recommendations for expanding and refining the use of virtual proceedings and enhancing systems for communicating with court users, among other improvements. The CMAC was formed by the New York State Unified Court System judicial leadership to advance court innovations.

Cravath represented the underwriters in connection with the $1.73 billion registered common stock offering of LPL Financial Holdings Inc. (“LPL”), a holding company which, through its securities brokerage, offers investment advisory services and insurance brokerage services. Cravath also represented the underwriters in connection with LPL’s concurrent $1.5 billion senior notes offering. Proceeds of the offerings will be used to partially finance LPL’s acquisition of Commonwealth Financial Network. The transactions closed on April 2, 2025, and April 3, 2025, respectively.
