John Buretta Serves as Editor of Lexology Getting The Deal Through’s “Government Investigations 2022”

Cravath partner John D. Buretta served as editor of Lexology Getting The Deal Through’s eighth edition of “Government Investigations,” which was published on August 10, 2021. John authored the Global Overview, which noted the growing complexity and number of government investigations across industries and subjects, and the United States chapter, which summarized the domestic legal framework for civil and criminal investigations of corporate entities, including initiation of an investigation, evidence gathering and investigative techniques, cooperation and resolution.

    Swvl’s Business Combination with Queen’s Gambit Growth Capital

    On July 28, 2021, Swvl Inc. (“Swvl”), a Dubai‑based provider of transformative mass transit and shared mobility solutions, and Queen’s Gambit Growth Capital, the first special purpose acquisition company entirely led by women, announced that they have entered into a definitive agreement for a business combination that would result in Swvl becoming a publicly listed company. Upon completion of the proposed transaction, the combined public company will be named Swvl Holdings Corp and is expected to be the first $1 billion plus “unicorn” from the Middle East to list on NASDAQ, under the ticker symbol “SWVL”. Cravath is representing Swvl in connection with the transaction.

    DiaSorin’s $1.8 Billion Acquisition of Luminex Corporation

    On April 11, 2021, DiaSorin S.p.A. (“DiaSorin”), a leading global diagnostics company, announced that its Board of Directors has unanimously approved and signed a definitive merger agreement for DiaSorin to acquire Luminex Corporation (“Luminex”), a leader in multiplexing technology, for a price of $37.00 per share in an all‑cash transaction corresponding to an enterprise value of approximately $1.8 billion. Cravath is representing DiaSorin in connection with the transaction.

    Nomura International Wins Dismissal with Prejudice of Consolidated Antitrust Class Action Suit

    On September 30, 2019, the U.S. District Court for the Southern District of New York dismissed, with prejudice, a consolidated class action complaint alleging a violation of Section 1 of the Sherman Act as to Cravath client Nomura International plc (“Nomura”) and several other defendants (together with Nomura, “Defendants”) for lack of personal jurisdiction. Plaintiffs Iron Workers Pension Plan of Western Pennsylvania, Alaska Department of Revenue and Alaska Permanent Fund Corporation—seeking to represent a putative class of purchasers of U.S. dollar‑denominated supranational, sovereign and agency (“USD SSA”) bonds between January 2009 and December 2015—alleged that Defendants conspired to restrain trade and fix prices of USD SSA bonds through anticompetitive activities. This decision concluded the second round of briefing in the matter.
